Institutional Partner Terms & Conditions
These Terms and Conditions ("Terms") govern the relationship between WATBES ("WATBES", "the Platform", "we", "us") and any educational institution ("Institution", "Partner", "you") that registers, lists, or maintains a profile on www.watbes.com. By submitting a registration request, completing onboarding, or continuing to maintain a live listing on WATBES, the Institution agrees to be bound by these Terms in full.
1. Information Institutions Will Upload
1.1 Accuracy and Completeness
The Institution is solely responsible for the accuracy, completeness, and currency of all information it submits or uploads to its WATBES profile, including but not limited to institution name, address, contact details, curriculum offered, education levels, fees, programmes, facilities, photographs, logos, and enrolment figures. WATBES does not independently verify every data point supplied and relies on the Institution to provide truthful information.
1.2 Ownership and Right to Upload
The Institution warrants that it owns, or has obtained all necessary rights, licences, and permissions to upload, all logos, photographs, text, and other content it submits to the Platform, and that such content does not infringe the intellectual property, privacy, or other rights of any third party.
1.3 Prohibited Content
The Institution shall not upload content that is false, misleading, defamatory, obscene, discriminatory, or otherwise unlawful under the laws of Ghana. WATBES reserves the right to reject, edit, suspend, or remove any listing or content that violates this clause, at its sole discretion and without prior notice where the violation is serious.
1.4 Duty to Keep Information Updated
The Institution is responsible for promptly updating its profile whenever material information changes, including changes to fees, admissions status, contact persons, curriculum offerings, or enrolment capacity. WATBES is not liable for any loss, missed enquiry, or reputational harm arising from outdated or unamended information left on the Platform by the Institution.
1.5 Verification and Right to Request Evidence
WATBES reserves the right, but is not obliged, to request supporting documentation (such as registration certificates, curriculum accreditation, or proof of ownership) to verify claims made in an Institution's profile before or after a listing goes live, and may suspend a listing pending satisfactory verification.
1.6 Data Handling
Information submitted by the Institution will be stored and processed in accordance with WATBES's data protection practices and the Data Protection Act, 2012 (Act 843) of Ghana. Publicly displayed profile information (such as institution name, curriculum, and general contact details) will be visible to parents and the public as intended by the listing service; sensitive contact information unlocked by parents will be handled in line with the Platform's applicable fee and access structure.
When a parent unlocks an institution's contact details through WATBES, they're doing it for one reason: to ask about that school. This clause means the institution can only use that parent's phone number or email to respond to that specific enquiry, not to add them to a mailing list, market other programmes to them later, or pass their details on to a third party like a recruitment agent or another school. It exists because the parent never agreed to be contacted for anything beyond their original question, and if institutions start reselling or misusing that data, it damages trust in WATBES as a whole, not just that one school.
2. Legal Issues
2.1 Eligibility and Compliance
The Institution warrants that it is a duly registered and lawfully operating educational institution in Ghana, in good standing with the Ghana Education Service and/or relevant regulatory or accrediting bodies applicable to its curriculum type, and that its listing on WATBES does not misrepresent its accreditation, registration, or operating status.
2.2 Intellectual Property
All intellectual property in the WATBES platform, including its name, logo, design, software, and underlying technology, remains the exclusive property of WATBES. Nothing in these Terms transfers any WATBES intellectual property to the Institution. Content uploaded by the Institution remains the Institution's property, but by uploading it the Institution grants WATBES a non-exclusive, royalty-free licence to display, reproduce, and promote that content on the Platform and in related marketing materials for as long as the listing remains active.
2.3 Limitation of Liability
WATBES acts solely as a directory and referral platform connecting parents with institutions. WATBES is not a party to, and accepts no liability for, any enrolment decision, admission outcome, contractual dispute, or financial transaction between a parent and an Institution. WATBES's liability to any Institution arising out of these Terms shall not exceed the total fees, if any, paid by that Institution to WATBES in the twelve (12) months preceding the claim.
2.4 Indemnity
The Institution agrees to indemnify and hold WATBES harmless against any claims, losses, damages, or expenses arising from the Institution's breach of these Terms, inaccurate or unlawful content it uploads, or its dealings with parents referred through the Platform.
2.5 Suspension and Termination
WATBES reserves the right to suspend or terminate an Institution's listing, with or without notice, where the Institution breaches these Terms, provides false information, fails to make payment where applicable, or where continued listing may expose WATBES or the public to legal or reputational risk. An Institution may request removal of its listing at any time by written notice to WATBES.
2.6 Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties, failing which either party may pursue resolution through mediation, arbitration, or the competent courts of Ghana.
3. Billing Issues
3.1 Free Registration and Onboarding
Registration and onboarding onto WATBES are free of charge for all eligible institutions. No fee is charged to create or verify a standard institutional listing.
3.2 Parent-Facing Contact Unlock Fee
Parents are charged a fee of GHS 5 each time they unlock an Institution's full contact details through the Platform. This fee is charged to the parent, not the Institution, and is retained by WATBES as part of its platform revenue model. The Institution acknowledges that this fee structure is a core part of how WATBES sustains free listing for institutions and does not entitle the Institution to a share of this fee unless otherwise agreed in writing.
3.3 Promoted Listings and Paid Add-Ons
Where an Institution opts into promoted or featured placement (such as homepage features, promoted search results, or event calendar placement), applicable fees and payment terms for such add-on services will be communicated separately and agreed in writing before the service is activated. No promoted service will be activated without the Institution's express confirmation of the associated cost.
3.4 Payment Terms
Where fees are payable for any add-on or promoted service, payment shall be made in advance of activation unless otherwise agreed. WATBES reserves the right to suspend promoted features, without suspending the underlying free listing, where payment is not received by the agreed due date.
3.5 Refunds
Fees paid for promoted or add-on services are generally non-refundable once the service has been activated, except where WATBES fails to deliver the agreed service, in which case a pro-rated refund or service credit may be issued at WATBES's discretion.
3.6 Changes to Fees
WATBES reserves the right to review and adjust its fee structure, including the parent contact-unlock fee and any promoted listing rates, from time to time. Institutions with active paid add-ons will be notified of any material change to their fees with reasonable advance notice.
3.7 Taxes
Each party is responsible for its own applicable taxes arising from fees paid or received under these Terms, in accordance with the tax laws of Ghana.
4. General Provisions
WATBES may amend these Terms from time to time; continued maintenance of a listing after such amendment constitutes acceptance of the revised Terms. If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force. These Terms, together with any signed partnership agreement, constitute the entire agreement between WATBES and the Institution regarding the subject matter herein.
